Terms of Service

These terms govern access to and use of the ZuraMedOps platform, its connected modules, and this website. By creating an account or signing an order form, your organization agrees to them.

Acceptance of terms

These Terms of Service ("Terms") are a binding agreement between your organization and Aryabh Corp (USA), the product company behind ZuraMedOps. By accessing this website, creating an account, or signing an order form for any module, you accept these Terms on behalf of your organization.

Who may use the service

ZuraMedOps is built for licensed healthcare practices, physician groups, and health systems, accessed only by their authorized staff and contracted implementation partners. You must be at least 18 years old and authorized to act on behalf of your organization to accept these Terms.

Accounts & access

  • Your organization is responsible for all activity under its accounts, and for configuring role-based access correctly for its staff.
  • Credentials must be kept confidential, and suspected unauthorized access reported to us promptly.
  • Multi-factor authentication is available and recommended for every account.

Subscriptions & build-to-order

ZuraMedOps is modular: your organization may license individual modules or a build-to-order ZuraHMS deployment, as set out in your order form. Fees, billing terms, and the modules licensed are governed by that order form, which takes precedence over these Terms where the two conflict. Build-to-order implementation is delivered by AC TechConnect, a sister affiliate of ZuraMedOps, under the same confidentiality and data-protection obligations described here.

Acceptable use

You agree not to: reverse-engineer or attempt to extract the platform's source code; interfere with or disrupt its availability or security; use it to store or transmit anything you do not have the legal right to store or transmit; or access data belonging to another customer organization. We may suspend access for a material violation of this section.

Intellectual property

Aryabh Corp and its licensors own all right, title and interest in ZuraMedOps, including its software, design, and documentation. These Terms grant your organization a limited, non-exclusive, non-transferable right to use the platform for its own internal clinical and administrative operations — nothing here transfers ownership of the platform itself. Your organization retains all rights to the clinical data it enters.

Patient data & BAA

Where your organization is a HIPAA covered entity, a separate Business Associate Agreement (BAA) governs our handling of Protected Health Information and controls over any conflicting term in this document. See our Security & HIPAA page and Privacy Policy for how PHI is protected.

Third-party integrations

The platform can connect to third-party EMRs, labs, pharmacies, HIEs and clearinghouses at your organization's direction. We are not responsible for the availability, accuracy, or policies of those third-party systems, and your organization is responsible for ensuring any system it connects also maintains HIPAA compliance and its own BAAs where applicable.

Warranties & disclaimers

We warrant that the platform will perform materially as described in your order form. Beyond that, the platform is provided "as is," and clinical decisions remain at all times the responsibility and professional judgment of the treating provider — the platform surfaces information and suggested actions but does not practice medicine.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages, and each party's total liability under these Terms is limited to the fees paid for the module(s) giving rise to the claim in the preceding 12 months, except for obligations relating to confidentiality, PHI, or either party's indemnification duties.

Termination

Either party may terminate under the conditions in your order form, including for a material, uncured breach. On termination, your organization may export its patient data for a reasonable transition period, consistent with applicable record-retention requirements.

Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, unless your order form specifies otherwise.

Changes to these terms

We may update these Terms from time to time; material changes will be reflected by updating the date at the top of this page, and will not retroactively reduce your organization's rights under a signed order form.
